2. Agreement Overview

These Terms govern your use of our Services, whether as an individual or as a representative of a business entity. Additional terms may apply to the specific product you use, and our Business Terms govern services tailored for enterprises and developers. You must adhere to all such terms to maintain access to the Services.

 

3. Eligibility

  • Minimum Age: To use our Services, you must be at least 13 years old or the legal age in your jurisdiction. If you are under 18, you need the consent of a parent or legal guardian.
  • Account Registration: Accurate and complete information is required when registering for an account. You are responsible for keeping your credentials secure and for all activities conducted through your account.

 

4. Your Responsibilities

a) Permitted Uses

You may use our Services to:

  • Integrate systems and manage data through InitusIO.
  • Migrate and visualize historical data using MigrateEase.
  • Leverage AI-driven tools like InitusGPT to enhance workflows and communications.
  • Accelerate software development with CodeQuilt.

You agree to comply with all applicable laws and adhere to the documentation, policies, and guidelines we provide.

b) Prohibited Uses

You may not use our Services to:

  • Engage in any unlawful activities or violate the intellectual property rights of others.
  • Reverse-engineer, disassemble, or attempt to discover the source code of our proprietary systems, including InitusIO and MigrateEase, except as permitted by applicable law.
  • Distribute, modify, lease, or sell any part of our Services without express permission.
  • Use InitusGPT to produce harmful, deceptive, or offensive content, or to misrepresent AI-generated output as human-generated without disclosure.

 

5. Product-Specific Terms

a) InitusIO

InitusIO serves as the core of our integration platform, managing complex data flows between systems.

b) MigrateEase

For organizations seeking to transfer or visualize data from outdated systems, MigrateEase offers tailored solutions. c) InitusGPT

Our AI solution, InitusGPT, enables businesses to automate content generation, streamline communications, and enhance decision-making processes.

d) CodeQuilt

CodeQuilt is designed to improve project management and software development efficiency, providing tools for rapid prototyping, version control, and collaborative coding.

 

6. Ownership of Content

a) Your Content

You retain ownership of any input you provide through our Services (“Input”) and the corresponding output generated (“Output”). This includes any code developed using CodeQuilt, data integrated via InitusIO, or content generated with InitusGPT. You warrant that you have all necessary rights and permissions for the Input you provide.

b) Our Rights

All rights to the underlying technology of our Services, including algorithms, data models, and user interfaces, belong to Initus Technologies Inc.. You may not claim ownership of any intellectual property related to the operation of InitusIO, MigrateEase, InitusGPT, or CodeQuilt.

 

7. Billing, Payments, and Subscription

  • Billing: Accurate payment details are required for any paid Services. You agree to pay all charges associated with your account, including applicable taxes.
  • Automatic Renewals: Subscriptions will renew automatically unless canceled prior to the renewal date. You may cancel at any time; however, refunds are not provided except where required by law.
  • Service Credits: Some Services may allow prepayment via service credits.

 

8. Termination and Suspension

We reserve the right to suspend or terminate your account if:

  • You breach these Terms or our policies.
  • Your use of our Services presents a security risk or violates applicable laws.
  • Your account remains inactive for over a year without a paid subscription.

If your account is terminated, you are entitled to appeal the decision through our support channels.

 

9. Limitation of Liability

To the maximum extent permitted by law, Initus Technologies Inc. will not be liable for any indirect, incidental, special, or consequential damages arising from the use of our Services. Our aggregate liability is limited to the greater of the amount paid by you in the 12 months preceding the claim or $2,500.00 (US Dollars).

 

10. Indemnity

If you are a business or organization, you agree to indemnify Initus Technologies Inc., our affiliates, and personnel from any claims arising from your use of the Services or violation of these Terms.

 

11. Dispute Resolution and Arbitration

Any disputes between you and Initus Technologies Inc. will be resolved through binding arbitration, subject to the Arbitration Rules. Both parties waive the right to a trial by jury or to participate in a class-action lawsuit.

 

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services or the law. You will receive advance notice of material changes. Continued use of our Services after the changes take effect indicates your acceptance.

 

13. Governing Law

These Terms are governed by the laws of New York, without regard to conflicts of law principles. Any legal claims must be filed in the state or federal courts located in New York.
