These Terms govern your use of our Services, whether as an individual or as a representative of a business entity. Additional terms may apply to the specific product you use, and our Business Terms govern services tailored for enterprises and developers. You must adhere to all such terms to maintain access to the Services.

• Minimum Age: To use our Services, you must be at least 13 years old or the legal age in your jurisdiction. If you are under 18, you need the consent of a parent or legal guardian.

• Account Registration: Accurate and complete information is required when registering for an account. You are responsible for keeping your credentials secure and for all activities conducted through your account.

a) Permitted Uses You may use our Services to:

• Integrate systems and manage data flows through InitusIO.

• Execute data migrations via InitusMigrate or archive legacy data using InitusVault.

• Leverage AI-driven insights and automation through InitusGPT.

• Automate data entry and document lifecycles with InitusIDP.

• Analyze and map system scripts using InitusDecoder. You agree to comply with all applicable laws and adhere to the documentation, policies, and guidelines we provide.

b) Prohibited Uses You may not use our Services to:

• Engage in any unlawful activities or violate the intellectual property rights of others.

• Reverse-engineer, disassemble, or attempt to discover the source code of our proprietary systems, including the underlying engines of InitusIO, InitusMigrate, or InitusIDP, except as permitted by applicable law.

• Distribute, modify, lease, or sell any part of our Services without express permission.

• Use InitusGPT to produce harmful, deceptive, or offensive content, or to misrepresent AI-generated output as human-generated without disclosure.

a) InitusIO: Serves as the core of our integration platform, managing complex data flows and connecting third-party AI platforms like OpenAI to business systems.

b) InitusMigrate & InitusVault: InitusMigrate is intended for active data transfer during system implementation, while InitusVault is restricted to the archival and visualization of historical data.

c) InitusGPT: These tools provide AI-driven assistance and automation. Usage is subject to the data access rights of the user’s role within the connected system (e.g., Salesforce or NetSuite).

d) InitusIDP: Users are responsible for validating the accuracy of data extracted by the AI engine to ensure the integrity of the records created in their CRM or ERP.

e) InitusDecoder: Designed to improve system understanding; the visual maps generated are based on the scripts deployed in your specific instance at the time of analysis.

a) Your Content. You retain ownership of any input you provide through our Services (“Input”) and the corresponding output generated (“Output”). This includes data archived in InitusVault, documents processed by InitusIDP, or insights generated by InitusGPT. You warrant that you have all necessary rights and permissions for the Input you provide.

b) Our Rights. All rights to the underlying technology of our Services—including algorithms, AI models, OCR engines, and user interfaces—belong to Initus Technologies Inc. You may not claim ownership of any intellectual property related to the operation of the Initus suite.

• Billing: Accurate payment details are required for any paid Services. You agree to pay all charges associated with your account, including one-time implementation fees and monthly subscription costs.

• Automatic Renewals: Subscriptions will renew automatically unless canceled prior to the renewal date.

• Service Credits: Some Services, such as InitusGPT may operate on a per-action basis or via service credits.

We reserve the right to suspend or terminate your account if:

• You breach these Terms or our policies.
• Your use of our Services presents a security risk or violates applicable laws.
• Your account remains inactive for over a year without a paid subscription.

If your account is terminated, you are entitled to appeal the decision through our support channels.

To the maximum extent permitted by law, Initus Technologies Inc. will not be liable for any indirect, incidental, special, or consequential damages arising from the use of our Services. Our aggregate liability is limited to the greater of the amount paid by you in the 12 months preceding the claim or $2,500.00 (US Dollars).

If you are a business or organization, you agree to indemnify Initus Technologies Inc., our affiliates, and personnel from any claims arising from your use of the Services or violation of these Terms.

We may update these Terms from time to time to reflect changes in our Services or the law. You will receive advance notice of material changes. Continued use of our Services after the changes take effect indicates your acceptance.

These Terms are governed by the laws of New York, without regard to conflicts of law principles. Any legal claims must be filed in the state or federal courts located in New York.
